ACORN CONSERVATORIES DIRECT LTD

STANDARD CONDITIONS OF SALE


1. These conditions of sale will apply to all sales of goods by the company ( hereinafter called “the seller” ) to the exclusion of all other terms save as required or implied by statute and the seller will not be bound by any guarantee or warranty made by its employees, agents or representatives. These conditions shall not be varied save by written agreement between the seller and the purchaser.

DELIVERY
2. Any time or dated quoted by the seller for delivery is intended as an estimate only and the seller shall not be liable for any delay in delivery of the goods howsoever caused, nor shall delay in delivery give the purchaser any right to recind the contract.

CANCELLATION
3. No order may be cancelled or amended without the written consent of the seller.

TITLE OF GOODS
4. Title to the goods shall not pass to the purchaser until the seller has received in its bank account full payment for the goods. Pending receipt of payment aforesaid the purchaser shall hold the goods as bailee of the seller. The benefit of all proceeds of any dealings with the goods by the purchaser shall be held in trust for the seller pending receipt by the seller of full payment. Should the purchaser commit any act of bankruptcy or being a Limited Company, if any Resolution or Petition or wind up such Company shall be passed or presented or a receiver be appointed of its undertaking property or assets or any part thereof or be it the purchaser whether an individual or a Limited Company shall have any execution or distress levied upon any of his or its goods or property the seller shall have the right to determine any contract then subsisting between them without prejudice to any claim or right the purchaser might otherwise exercise. The purchaser acknowledges the right of the seller, its servants or agents to enter upon the Purchaser’s premises to take back any goods for which payment has not been made in accordance with Paragraph 5 hereof.

TERMS OF PAYMENT
5. Payment in full at time of order.

LIABILITY
6. The purchaser accepts that no liability will be borne by the seller for any goods which become defective as a result of being subjected to any process after leaving the sellers premises.

DELIVERY OF GOODS
7. Damage in transit or shortage in delivery notification must be given by the purchaser to the seller within Two days after delivery or the date assumed for delivery and must be made by fax or letter to the seller. The number of boxes and parcels delivered must be carefully checked prior to signing a delivery note.

LAW
8. These condition and any contract between the seller and the purchaser shall in all respects be considered and operate according to the law of England.
